What Is mNAV? a Simple Guide to Bitcoin Treasury Valuation

What is mNAV? Learn how a Bitcoin treasury company compares enterprise value with its Bitcoin reserve, why definitions differ and which risks the ratio hides.

what is mNAV guide cover

What is mNAV? It is a ratio used by some Bitcoin treasury companies to compare a company value with the value of its Bitcoin reserve. The letters suggest a multiple of net asset value, but the calculation may not match the traditional meaning of net asset value.

The ratio can help organise a first comparison, but it cannot value an operating business, debt terms, preferred shares, tax, custody and management decisions in one neat number. This guide explains the arithmetic and the missing questions without recommending a share or cryptoasset.

Estimated reading time: 7 minutes

TL;DR

  • mNAV divides a stated company value by a stated Bitcoin reserve value.
  • The numerator and denominator must use the same date, share count and clearly disclosed definitions.
  • A premium can disappear through a falling share price, a rising Bitcoin price, new securities, dilution or a changed calculation.

What This Means in Simple English

To answer what is mNAV, picture two labelled boxes. One contains the market value assigned to the whole company and its financing. The other contains the market value of its Bitcoin reserve. Dividing the first box by the second gives a multiple, but only after both boxes have been defined correctly.

Simple Example

Suppose a company has an enterprise value of £3 billion under its published method and a Bitcoin reserve worth £2 billion at the same moment. Its mNAV is 1.5. That does not mean each share owns £1.50 for every £1 of Bitcoin, because debt, preferred capital, cash and share count still matter.

Key Terms in Plain English

mNAV: A company defined multiple comparing enterprise value with a Bitcoin reserve.
Enterprise Value: A measure that usually combines equity value with debt and other claims, then adjusts for cash.
Bitcoin Reserve: The market value assigned to the company's disclosed Bitcoin holdings.
Dilution: A reduction in each existing share's proportion when more shares are issued.
Preferred Capital: Securities with rights that can rank ahead of ordinary shares.

What Is mNAV Measuring?

What is mNAV measuring in practice? Strategy defines its version as enterprise value divided by its Bitcoin reserve. Its enterprise value includes the market value of common shares, principal debt and the notional value of perpetual preferred stock, less the most recently reported cash balance.

That is a company supplied key performance indicator rather than an audited replacement for the financial statements. Strategy explicitly says its mNAV is not traditional net asset value. Another company or data website may use a different numerator, treasury figure or share count, so the label alone is not enough.

Build the Numerator Carefully

Start with the exact equity value on the measurement date. A fully diluted share count can differ from basic shares outstanding because options, convertibles and other instruments may become shares. Then identify debt, preferred claims and cash using the stated method rather than silently choosing convenient figures.

Market capitalisation alone is not the same as enterprise value. Adding every liability is also wrong if the published definition includes only selected financing. Copy the formula, date and source into the working paper so another reader can reproduce it.

Build the Bitcoin Reserve Carefully

Multiply the verified Bitcoin quantity by a defensible Bitcoin price at the same measurement time. Check whether the holding figure is the latest completed purchase or an older financial statement balance. A later press release can change the denominator before an accounts database updates.

Do not subtract debt from the Bitcoin reserve and then also add that debt to enterprise value unless the chosen method genuinely requires both steps. A repeated adjustment can make the ratio look far higher or lower than the published calculation.

Why the Measurement Time Matters

Share prices and Bitcoin prices trade on different venues and can move while one market is closed. A ratio built from Friday's share close and Sunday's Bitcoin price is not a clean same moment comparison. Currency conversion can add another moving input for a UK reader.

Use one timestamp and disclose how closed market prices were handled. For a historical article, preserve the values used at publication rather than refreshing only one side. A live widget needs clear refresh rules, failure handling and a visible data time.

What a Premium May Represent

An mNAV above one may reflect expected future Bitcoin purchases, access to capital, an operating software business, liquidity, index demand or confidence in management. It may also reflect speculation. The ratio does not tell you which explanation is correct.

A premium is not cash locked in a vault. It is a market relationship that can shrink without the company selling Bitcoin. Compare the operating results, funding programme and security rights before assigning a story to the number.

Debt Preferred Shares and Dilution

Debt has interest, maturity, conversion and covenant terms. Preferred shares may carry dividends or senior claims. Common shares can be issued to fund more Bitcoin. Each route can change the reserve and the claims against it at different speeds.

Review the latest filing and every material capital announcement. Calculate both total Bitcoin growth and Bitcoin per diluted share. A larger treasury does not automatically mean an existing ordinary share has gained the same proportional exposure.

Why mNAV Can Fall Quickly

The numerator may fall when the share price drops even if the Bitcoin reserve is unchanged. The denominator may rise when Bitcoin appreciates while the share price stands still. New debt, preferred capital, cash balances and securities issuance can also alter the company defined calculation.

Run several cases rather than one target. Include a lower share price, higher Bitcoin price, new capital issue and a custody loss or impairment scenario. The purpose is to understand sensitivity, not to predict the next market move.

Compare mNAV Definitions Before Comparing Companies

Two dashboards can show different answers and both can follow their own rules. One may use basic market capitalisation. Another may use fully diluted equity plus debt and preferred stock. A third may divide by net Bitcoin after assumed liabilities.

Write each formula side by side. Match the Bitcoin date, currency, share count, debt treatment, cash treatment and preferred treatment. Do not rank companies until those choices are comparable.

A UK Reader’s Risk Check

The FCA warns that company share prices can move quickly when a large proportion of assets is linked to crypto. Owning a treasury company share is not the same as holding Bitcoin directly. Shareholders also face company, governance, financing and custody risks.

Read regulated announcements and audited reports. Check whether a communication is an advertisement, a company supplied metric or statutory disclosure. This article is education, not personal financial advice, and a published ratio is not a suitability test.

A Reproducible mNAV Checklist

Record the timestamp, equity price, basic and diluted shares, debt principal, preferred notional value, cash, Bitcoin quantity, Bitcoin price and foreign exchange rate. Link every input to a primary source and state the exact formula.

Recalculate the result independently. Then read the notes for exclusions and method changes. If the result cannot be reproduced from disclosed inputs, mark it unavailable rather than filling the gap with an estimate presented as fact.

What the Current Data Can and Cannot Tell You

Strategy's published mNAV definition is company specific and says the measure is not traditional net asset value.

mNAV inputs can change after capital raising, Bitcoin purchases, share price moves or updated cash disclosures.

A ratio does not replace the audited accounts, security terms or individual risk assessment.

Decision Table

Input Question To Answer
Equity value Which price and which share count?
Debt Principal, market value or another measure?
Preferred capital Which securities and what notional value?
Cash Which reported balance is deducted?
Bitcoin reserve Which quantity, price and timestamp?

A table is a starting point, not a promise. Verify current official sources and apply each detail to the decision you are actually making.

Frequently Asked Questions

What Is mNAV in One Sentence?

It is a company defined multiple comparing an enterprise value with the market value of a Bitcoin reserve.

Is mNAV the Same as Traditional Net Asset Value?

No. Strategy expressly says its measure is not traditional net asset value.

Does a High mNAV Guarantee More Bitcoin Per Share?

No. Future issuance, financing costs and purchase prices affect the outcome.

Can Two mNAV Websites Disagree?

Yes. They may use different timestamps, share counts and financing adjustments.

Is mNAV Investment Advice?

No. It is one analytical ratio and cannot decide whether a security suits a person.

Conclusion

What is mNAV? It is a useful way to ask how a Bitcoin treasury company is priced against a stated reserve, provided every input and definition is visible. Treat the result as a dated company metric, not a promise. Reconcile it to filings and test the financing risks that one multiple cannot show.
